Company Structure

Corporate entity (Pty Ltd) - Includes Private Company with your selected Business Name based on available name search, Corporate binder, Constitution, Bank Pack to enable you to open a bank account in the company name, and an Australia Company Number (ACN) for upwards of three Directors and Members (Share holders) are included at set price.

Includes a business name and trademark search before registering.  (See above).

You need to provide us with:
  • Name for the Corporate Entity.
  • Names (As shown on their Tax Returns), Home addresses, Place of birth, Date of birth, Tax file numbers of all position holders and members. (Share Holders) 
  • Who will be Director, Secretary, Public Officer and Members (Share Holders) of a corporate structure.
  • Number of share per members (Share holder) and value of each share and if they are paid, gifted or unpaid shares.  Eg 100 ORD x $1 Paid Shares.
  • Registration Address for your business to receive official and legal documents.
  • Confirm that no office holders are discharged director or office holder or have been a declared bankruptcy.

Special Considerations for Not-For-Profits and Charitable Entities

Public Company Limited by Guarantee (LTD) is an ideal legal structure for any not-for-profit and charitable entities registered with the Australian Charities and Not-for-profits Commission (ACNC) to operate throughout Australia. (Incorporated bodies are governed and limited to a State) 

LTDs are administered by ASIC and governed by the Corporations Act 2001 (Cth) and the company’s constitution. It is a separate legal entity that can sue and be sued as well as offering limited liability to members. Each member offers a ‘guarantee’ to the company, such that a certain amount of money or asset will be contributed to the company when it is wound up. Members are not required to hand over the guaranteed amount or item upon registration. As a public company this structure must adhere to certain requirements common to all companies of the same nature, including but not limited to:
  • The appointment of at least three directors, one secretary and at least one member;
  • The lodgement of a company constitution with ASIC at the time of registration;
  • The maintenance of a register of directors and members, minutes of meetings and resolutions;
  • The appointment of a company auditor within one month of registration;
  • Having a registered office address that it open to the public for a certain amount of time each business day;
  • Holding an Annual General Meeting (AGM) at least once per calendar year and within five months of the end of a financial year.

ABN Registration

If an employer tells you to apply for an ABN, it is highly likely you will not entitled to an ABN.  You will need an Australian Business Number however if you wish to register for GST, start an business, apply for a Business Name, obtain a TFN for a corporation, register a Not For Profits organisations with the ACNC, register a business owned Domain Name and other ATO related reasons.  On Applying for an ABN, the AHBC can process your Goods & Services Taxes (GST), Luxury Car Tax (LCT), Fringe Benefits Tax (FBT), Wine Equalisation Tax (WET) and Fuel Tax Credit (FTC) applications.

You need to provide us with:

  • Business Name to be registered.
  • Business Industry Eg. Production Farming
  • Goods & Services Taxes (GST), Luxury Car Tax (LCT), Fringe Benefits Tax (FBT), Wine Equalisation Tax (WET) and Fuel Tax Credit (FTC) requirements.
  • Name of owner.  If a person, Name (As shown on their Tax Return), Home address, Place of birth, Date of birth, Tax file number.  If a Company, Company Name, ACN, Date Established and Tax File Number. 
  • Confirm that no owners are discharged director or office holder or have been a declared bankruptcy.
  • If a new corporation (Pty Ltd) we will register for a Tax File Number and GST unless advised otherwise.
  • Do you intend to employ at time of commencing business?
  • Do you plan to create >$75k ($150k for Not For Profit) in your first year or want to be registered for GST?
  • Registration Address for the business to receive official and legal documents.  (Use AHBC as your legal Registered Address, click here for price and details.)
  • To transfer a business names and if you have a ASIC Connect account, access email and password to your existing ASIC Connect account, Business Name and ABN of entity to receive the transfer.

Business Name Registration or

You only need to register a business name if you are not trading under your own name Eg. John Smith as a Sole Trader or as the full corporation name Eg. My Company Pty Ltd.  This means if you trade as John Smith's Cars or your company trades as My Company without the Pty Ltd, you must register a business name.  Click here for further details.

New Business Name - Australian Business Number (ABN) and Name Registration for Sole Trader or Corporate Entity includes the following registration options:-
  • Business Name Search with IP Australia, ASIC and Domain Register to ensure availability and compliance.

Trust - Discretionary

Discretionary Trust (a.k.a A Family Trust) including Binder.

You need to provide us with:
  • Name for the Trust.
  • The Settlor Names, Address, Place of birth, Date of birth, Tax file number or if a Company,  Name, A.C.N. and Address.  Must be a person or company with no other involvement in the Trust.  If you do not have a Settlor, we will nominate one along with a $10 Settlement Sum paid into the Trust bank account.
  • Settlement Sum. (Normally $10)
  • Trustee Names and Address, Place of birth, Date of birth, Tax file number or if a Company, Name, A.C.N. and Address.
  • Appointer - The Appointer role is to removes and appoints the Trustee but cannot be the Settlor.  Require Names, Address, Place of birth, Date of birth, Tax file number or if a Company, Name, A.C.N. and Address.  
  • Beneficiaries - Full name(s) of the person(s) (eg husband and wife) who are to be named as eligible beneficiaries under the Trust including Place of birth, Date of birth, Tax file number.
  • Note that we may require further details during the application process.
